Security: Registered shares in Ultima Capital SA with a nominal value of CHF 0.10 each Valor No.: 49106400 ISIN: CH0491064009 Ticker: ULTIMA Formal listing of 1,981,984 new registered shares with a nominal value of CHF 0.10 each and listing of 8,413,798 new registered shares with an nominal value of CHF 0.10 each Issuer, domicile and address Ultima Capital SA ("UTLIMA" or the "Company") domiciled in Zug (registered address: Baarerstrasse, 6300 Zug) Legal basis Based on the resolution of the Extraordinary General Meeting of Shareholders of 27 December 2024, the Company conducted an ordinary capital increase in the amount of 8,413,798 new shares with a nominal value of CHF 0.10 each (the "Capital Increase Shares"). Further, the Company has requested, and was granted, the formal listing of 1,981,984 registered shares with a nominal amount of CHF 0.10 (the "Formal Listing Shares", together with the Capital Increase Shares, the "Shares") based on the conditional capital according to article 2.1b of the Company's articles of association. Use and issuance of the Formal Listing Shares The Formal Listing Shares are reserved for servicing the mandatory convertible notes issued and are therefore equity securities that are issued upon the conversion or exchange of financial instruments or as a result of the exercise of rights associated with financial instruments. Accordingly, the Formal Listing Shares are also the same class of shares that are already admitted to trading. Formal listing The formal listing of the Formal Listing Shares has been approved by BX Swiss Ltd and is scheduled to occur on 27 December 2024. Listing and trading of the Capital Increase Shares The listing and first day of trading of the Capital Increase Shares on the BX Swiss Ltd. occurs on 30 December 2024. Settlement of the Capital Increase Shares It is expected that delivery of the Capital Increase Shares will be made through the facilities of SIX SIS Ltd. ("SIS") on or around 27 December 2024. Form of the new Shares Any new Shares, if and when issued, will be issued as simple uncertificated securities (einfache Wertrechte) within the meaning of article 973c of the CO and will be established as intermediated securities (Bucheffekten) within the meaning of the Federal Act on Securities held with an Intermediary (Bucheffektengesetz) of 3 October 2008, as amended (the "FISA") once credited to the relevant securities account of the relevant recipient.
