Formal listing of 30'000 new registered shares with a nominal value of CHF 0.10 each Issuer, domicile and address: Ultima Capital SA ("UTLIMA" or the "Company") domiciled in Zug (registered address: Baarerstrasse, 6300 Zug) Legal basis: Based on the resolution of the Ordinary General Meeting of Shareholders of 3 June 2021, the conditional capital for the purpose of employee participations (section 2.1a of the Company's articles of association) of the Company was created in the nominal amount of CHF 59'099.20, corresponding to 590'992 fully paid-in registered shares with a nominal value of CHF 0.10 each (together with all other shares of the same category, the "Shares"). Use and issuance of the formally listed shares: The newly formally listed Shares are for use in connection with employee participations, as further specified in section 2.1a of the Company's articles of association. Any offering and issuance of such formally listed Shares will be made without a prospectus in reliance on the exemption for employee participations in accordance with article 37 paragraph 1 letter g of the Financial Services Act. Formal listing: The formal listing of the 30'000 Shares has been approved by BX Swiss Ltd and is scheduled to occur on 3 November 2023. Form of the new Shares: Any new Shares, if and when issued, will be issued as simple uncertificated securities (einfache Wertrechte) within the meaning of article 973c of the CO and will be established as intermediated securities (Bucheffekten) within the meaning of the Federal Act on Securities held with an Intermediary (Bucheffektengesetz) of October 3, 2008, as amended (the "FISA") once credited to the relevant securities account of the relevant recipient. Listing without publication of a prospectus: The listing of the Shares occurs without the publication of a prospectus based on the exemption provided in art. 38 para. 2 in conjunction with art. 37 para. 1 let. g of the Financial Services Act. This Official Notice is neither a prospectus nor a similar notice in accordance with articles 35 or 69 of the Financial Services Act.
